Commercial Mortgage-Backed Securities Loans

Commercial mortgage-backed securities (CMBS) loans offer a financing solution for almost all types of commercial real estate projects in the United States. CMBS loans offer some advantages that you won’t get with other commercial loans.

Lenders often call CMBS loans 'conduit loans' because they resell them as securities. Once originated, these loans are often packaged together with other loans and resold to investors as fixed-income investments.

As a result, these loans provide commercial property owners with indirect access to the vast capital of bond investors through resale as bonds.

Benefits of CMBS Loans

  • Fixed Rates: These loans have fixed interest rates, which are typically lower than those of conventional mortgages. The rates are determined based on the current U.S. Treasury rates with additional margin.
  • Non-Recourse & Assumable: The non-recourse feature protects borrowers, while the assumable feature allows borrowers to sell a commercial property without changing the loan terms.
  • Loan Size: These loans are not restricted to the terms that commercial mortgages provided through major agencies must meet. Plus, these loans are available in a diverse range of amounts.

Drawback of CMBS Loans

  • With Tax Laws: Even though CMBS loans don’t have the restrictions set by major lending agencies, these loans must comply with tax laws that allow the loans to be resold as securities. This limits borrowers in terms of what variables they can negotiate.
  • Prepayment Penalties: These loans have a higher risk than the prepayment penalties of conventional mortgages. While conventional mortgage prepayment penalties are calculated as a percentage of lost interest, conduit loan prepayment penalties are often tied to Treasury yields. If Treasury bond yields drop significantly, this can result in substantial additional prepayment penalties.
